1. Introduction
These Terms and Conditions (“Terms”) govern the use of the HiPulse website and catalogue. By accessing or browsing our catalogue, you agree to be bound by these Terms.
The catalogue is provided for informational purposes only. Products cannot be ordered directly through this website. Any purchase requires a separate quotation and written confirmation.
2. Products and Information
- All products displayed in our catalogue are promotional items intended for custom branding.
- Images, descriptions, and specifications are illustrative and may differ slightly from the final delivered goods.
- HiPulse reserves the right to amend product details, availability, or specifications at any time without prior notice.
3. Pricing
- All prices are quoted net of VAT. Applicable VAT and shipping charges will be added to the final invoice.
- Quotations are valid only for the period stated on the quotation.
- HiPulse reserves the right to adjust prices in response to supplier changes, currency fluctuations, or other external market conditions.
4. Payment Terms
- Payments must be made by bank transfer to the account details indicated on the invoice, in the currency of the quotation.
- We do not accept cash or PayPal.
- For international payments, clients may use intermediaries such as Wise (https://wise.com).
- For orders up to £1000, HiPulse may offer deferred payment, subject to positive verification by our insurer (Euler Hermes). Verification is carried out using publicly available data, without client involvement.
- HiPulse reserves the right to decline deferred payment at its sole discretion.
5. Delivery
- Delivery times are estimated individually for each order.
- HiPulse will not be liable for delays caused by circumstances beyond our reasonable control (e.g. supplier delays, shipping disruptions, customs issues).
- Risk in the goods passes to the client upon delivery. Ownership passes once full payment has been received.
6. Intellectual Property
- All catalogue content, including product descriptions, images, graphics, and designs, is the intellectual property of HiPulse Ltd. or its licensors.
- No material may be copied, reproduced, or distributed without prior written permission from HiPulse.
- Logos, trademarks, or artworks provided by clients remain their property, and clients are responsible for ensuring they hold the necessary rights to use them.
7. Limitation of Liability
- HiPulse makes every effort to ensure that catalogue information is accurate and up to date. However, we provide no guarantee as to its completeness or accuracy.
- To the fullest extent permitted by law, HiPulse shall not be liable for any indirect, incidental, or consequential losses arising out of the use of our products or catalogue.
- Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
8. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
